1. What these Terms cover; the free tools

1.1. Purpose. These Free SEO Tools Terms & Disclaimer (the “Free Tools Terms”) govern your access to and use of the free, no-account SEO and AI tools, calculators, generators and utilities that we make available to the public on our marketing site (semlypro.com and semlypro.nl), including the tools listed at semlypro.com/seo-ai-tools and any legacy tools at semlypro.com/free-tools (together, the “Free Tools”). They are referenced by, and sit outside, our main Terms of Service (clause 1.4 of the ToS confirms the Free Tools are governed by these separate terms and are not part of the subscription “Service”).

1.2. Free Tools are not the paid Service. The Free Tools are provided as a free, promotional preview to help you evaluate SemlyPro. They are not the SemlyPro subscription platform (“Service”) defined in the ToS, they carry no service levels, support commitments, or availability guarantees, and they may offer reduced functionality compared with the paid Service. Nothing in these Free Tools Terms creates a subscription, an account relationship, or a paid contract. If you sign up for a free trial or a paid Subscription Plan, the Terms of Service, Acceptable Use Policy and, where applicable, the Data Processing Agreement govern that relationship instead.

1.3. Acceptance. By accessing or using any Free Tool — including by entering an input, running a calculation, generating output, or submitting your email to receive a result or export — you agree to these Free Tools Terms. If you do not agree, do not use the Free Tools.

1.4. Definitions used here.

  • Tool Inputs” means any information you enter into, upload to, or authorise a Free Tool to use — for example keywords, URLs, page text, topic descriptions, product or brand details, and any file (such as a CSV or spreadsheet) you upload to a tool that accepts one.
  • Tool Outputs” means the results a Free Tool returns to you — for example generated titles, meta descriptions, briefs, keyword ideas, scores, calculations, audits or suggestions, including anything produced by an underlying AI model.
  • Lead Data” means the contact details (such as your name and email address) and related information you provide when you ask us to email you a result, unlock an export, or otherwise submit a form on a Free Tool.
  • Capitalised terms used but not defined here (for example “Content”, “Customer Materials”, “Connected Data Sources”, “AI Providers”, “Consumer”, “Business Customer”, “Data Principal”, “Data Fiduciary”) have the meanings given in the Terms of Service (https://semlypro.com/terms) and Privacy Policy (https://semlypro.com/privacy).

2. Contracting entity; relationship to the ToS, Privacy Policy and other pack documents

2.1. Who provides the Free Tools. The Free Tools are provided by Semly Pro, a sole proprietorship (eenmanszaak) established in the Netherlands, registered with the KvK (Dutch Chamber of Commerce) under number 99448351, VAT ID NL005387029B31, with registered address Hawaiiweg 41, 1339 NW Almere, Netherlands (trading as “SemlyPro”, “we”, “us”, “our”). SemlyPro is currently owned and operated by its sole proprietor, Surya Pillai.

2.2. Succession to the B.V. SemlyPro intends to incorporate a private limited company (Semly Pro B.V.). Upon incorporation, Semly Pro B.V. will assume these Free Tools Terms by operation of the assignment/novation mechanism in the ToS, and references to “SemlyPro” will be read as references to Semly Pro B.V. This does not require your further consent. Until incorporation completes, the contracting party is the sole proprietorship named in clause 2.1, and the exclusions, disclaimers and liability limits in these Free Tools Terms are drafted to bind that entity and to carry over to Semly Pro B.V. on incorporation.

2.3. Documents that also apply. Your use of the Free Tools is additionally subject to, and should be read with:

Where these Free Tools Terms conflict with the Privacy Policy or AUP on a matter those documents specifically address (data protection; prohibited use), those documents govern for that matter.


3. Eligibility and acceptable use

3.1. Age. The Free Tools are intended for users aged 18 or over. They are not directed at children. Under the Digital Personal Data Protection Act 2023 (India), a “child” is anyone under 18; we do not knowingly process a child’s personal data through the Free Tools, we do not carry out behavioural tracking or targeted advertising directed at children, and we would require verifiable parental/guardian consent before processing a child’s personal data (see clause 8 and the Privacy Policy).

3.2. Acceptable use. You must use the Free Tools only for lawful purposes and in accordance with the AUP. Without limiting the AUP, you must not:

  • use the Free Tools to generate or facilitate spam, search-engine manipulation (for example cloaking, doorway/thin pages, hidden text, keyword stuffing, or link schemes), deceptive synthetic media, malware, or content that is unlawful, infringing, defamatory, hateful, or harassing;
  • submit as a Tool Input any special-category or sensitive personal data, or any personal data of another person that you are not lawfully entitled to submit (see clause 10);
  • attempt to circumvent, disable or interfere with rate limits, access controls, or anti-abuse measures, including by rotating IP addresses, sessions, devices or email addresses to exceed usage limits;
  • scrape, crawl, bulk-query, resell, or build a competing dataset or product from the Free Tools or their outputs, or use the Free Tools to reverse-engineer or derive our prompts, model tuning or algorithms; or
  • use the Free Tools to develop or train any machine-learning model.

3.3. Sanctions. You may not use the Free Tools if you are located in, ordinarily resident in, or acting on behalf of a person or country subject to comprehensive European Union, Netherlands, United Nations, United States or United Kingdom trade sanctions or embargoes, or if you appear on any applicable denied-, restricted- or sanctioned-party list. Because certain Free Tools route processing through United States AI providers, this restriction applies to your use as a whole.

3.4. Consequences of misuse. We may throttle, block or permanently deny access to the Free Tools, and remove or refuse to generate any Tool Output, where we reasonably believe you have breached this clause 3 or the AUP, or where necessary to protect the Free Tools, SemlyPro, our providers or third parties. Because the Free Tools require no account, these measures may be applied at the network, session or device level.


4. No account; access, fair use and rate limits

4.1. No account required. Most Free Tools can be used without registering. Some tools may ask for your email address before delivering a result, unlocking an export, or emailing you a report; providing that email is voluntary and is governed by clause 8.

4.2. Fair use and rate limits. The Free Tools are offered on a fair-use basis and are subject to rate limits, quotas and usage caps (for example per session, per IP address, per email, or per time window) that we may set and change at any time without notice to manage load, cost and abuse. Exceeding a limit may result in throttled, delayed or rejected requests. The Free Tools are intended for interactive, human use — not for automated, programmatic or high-volume access, which is available (subject to terms) via the paid API described in our API Terms of Use.

4.3. AI cost management. Some Free Tools call third-party AI models that cost us money per request. To keep the tools free and available, we may limit the number, length or complexity of AI-assisted requests, disable AI features temporarily, or fall back to non-AI functionality, at our discretion.


5. Licence and intellectual property (the tools and the outputs)

5.1. Licence to you. Subject to your compliance with these Free Tools Terms and the AUP, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Free Tools for your own internal business or personal evaluation purposes.

5.2. Our rights. As between you and us, SemlyPro (and its licensors) retain all right, title and interest in and to the Free Tools, their user interfaces, underlying software, prompts, model tuning, evaluations, algorithms, and the SemlyPro name, logo and marks. No rights are granted to you except those expressly set out here. You must preserve any proprietary notices.

5.3. Your Tool Inputs. You retain whatever rights you hold in your Tool Inputs. You grant us a worldwide, non-exclusive, royalty-free licence to host, process and transmit your Tool Inputs solely to operate the relevant Free Tool, return Tool Outputs to you, secure and improve the Free Tools for our internal, non-public purposes, and comply with law — consistent with clause 8.

5.4. Tool Outputs. To the extent we hold any rights in the Tool Outputs generated for you, we do not assert them against your lawful use of those outputs. You are solely responsible for reviewing, editing, fact-checking, obtaining any necessary rights or clearances for, and deciding whether and how to use or publish any Tool Output. We make no representation that Tool Outputs are original, non-infringing, or eligible for copyright or other protection in any jurisdiction; the copyright status of AI-generated material is uncertain in several jurisdictions (see the ToS and AI Transparency Notice).

5.5. Feedback. If you send us suggestions or feedback about the Free Tools, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you.


6. AI-generated outputs — accuracy, “as is”, and no professional advice

6.1. Outputs may be wrong. Several Free Tools use artificial intelligence to generate text, suggestions, scores or analysis. AI systems can “hallucinate” — that is, produce output that is inaccurate, incomplete, outdated, misleading, biased, fabricated, or infringing, and that may appear confident while being wrong. Tool Outputs may also reproduce or resemble third-party material. We do not warrant the accuracy, completeness, currency, non-infringement, or fitness for any purpose of any Tool Output.

6.2. Human review before you rely on or publish anything. You must independently verify any Tool Output before relying on it, and you must apply meaningful human review before publishing any AI-generated Tool Output — including for accuracy, intellectual-property infringement, defamation, and regulatory or sector-specific compliance. This mirrors the human-review requirement in the AUP.

6.3. No professional advice. The Free Tools and their outputs are provided for general informational and evaluation purposes only and do not constitute professional advice of any kind — including SEO, marketing, business, financial, tax, accounting, medical, or legal advice — and using them does not create any advisory or fiduciary relationship. Do not treat a Tool Output as a substitute for advice from a qualified professional who can consider your specific circumstances.

6.4. Estimates and illustrative figures. Calculators and estimators (for example ROI, traffic-value, or forecast tools) rely on assumptions, industry averages, and figures you supply, and produce illustrative estimates only. Actual results will differ, sometimes materially. The figures are not a promise, projection, warranty, or guarantee of any outcome.


7. No guaranteed results (SEO, rankings, traffic or revenue)

7.1. Search engines are outside our control. Search-engine rankings, indexing, AI-assistant citations, traffic, leads and revenue depend on many factors outside our control — including search-engine and AI-platform algorithms (which change without notice), competition, your website and its technical health, your market, and how you implement any suggestion. We do not guarantee any particular ranking, indexing, visibility, traffic, conversion, lead, revenue or other result from using the Free Tools or acting on their outputs.

7.2. Risk of penalties. Publishing AI-generated or low-quality content, or applying SEO techniques inappropriately, can in some cases lead to reduced visibility or manual/algorithmic penalties from search engines. You are responsible for how you apply any Tool Output and for compliance with the guidelines of the relevant search engines and AI platforms.

8. Data handling for tool inputs and lead-generation data

8.1. Our roles. For Lead Data you submit (for example your email address to receive a result), and for operational logs and analytics of Free Tool usage, SemlyPro determines the purposes and is the controller under the GDPR/UK GDPR and a Data Fiduciary under the DPDP Act 2023. For personal data contained in your Tool Inputs (for example if you paste or upload data about identifiable people), you are the controller/Data Fiduciary and we process it on your behalf and on your instruction to run the tool; you are responsible for having a lawful basis and any required notices/consents (see clause 10).

8.2. What we do with Tool Inputs. We use Tool Inputs to run the requested Free Tool and return Tool Outputs to you. We may retain Tool Inputs and usage logs for a limited period to operate, secure, debug, prevent abuse of, and improve the Free Tools for our internal, non-public purposes. Access to Tool Inputs by SemlyPro personnel and authorised contractors is bounded to those purposes and is subject to confidentiality, least-privilege / role-based access controls, and access logging. We do not use Tool Inputs or Tool Outputs to train publicly-released AI models (consistent with the no-public-model-training position in our Privacy Policy, AI Transparency Notice and DPA).

8.3. AI providers. Where a Free Tool uses AI, the relevant Tool Inputs are transmitted to our AI Providers (currently OpenAI Ireland Limited and Anthropic PBC) to generate the output. These providers are engaged under terms that prohibit using inputs or outputs to train their publicly-released models, as described in our Privacy Policy, DPA and Sub-processor List.

8.4. Lead Data and marketing email. Where you provide Lead Data, we use it to deliver the result, export or report you requested and, where you have separately agreed or where a valid soft opt-in applies, to send you related marketing about SemlyPro. Direct-marketing email is sent only on a lawful basis: in the United Kingdom under the Privacy and Electronic Communications (EC Directive) Regulations 2003 (PECR), regulations 22–23 (including the “soft opt-in” for existing/negotiating customers), as amended by the Data (Use and Access) Act 2025; in the Netherlands under Article 11.7 of the Telecommunicatiewet; and in India in accordance with applicable rules on commercial communications. Every marketing email carries a working, cost-free unsubscribe, which we honour promptly, and consent (where relied on) can be withdrawn as easily as it was given. We do not sell your Lead Data.

8.5. Cookies and analytics. Use of the Free Tools on our marketing site is subject to our Cookie Policy. Non-essential analytics, marketing and advertising cookies fire only where you have consented (or, in the UK, where a lawful exemption under PECR as amended by the DUAA 2025 applies).

8.6. Retention. We retain Tool Inputs, usage logs and Lead Data only as long as necessary for the purposes above and in line with our internal Data Retention & Deletion Schedule.

8.7. Your rights. You have the data-subject / Data Principal rights described in our Privacy Policy and, for India, our India Privacy & Grievance Addendum — including access, correction, erasure, objection/withdrawal of consent, and grievance redressal. To exercise them, contact anil@semlypro.com (or, for India grievances, anil@semlypro.com — see clause 17).

8.8. India — DPDP. For India-facing use, our processing of Lead Data as a Data Fiduciary is on the basis of a plain-language notice and your consent, Data Principal rights apply, cross-border transfer is permitted except to any country the Indian government restricts, and any personal-data breach is notified to the Data Protection Board of India and affected Data Principals as required. The DPDP Rules 2025 were notified on 13 November 2025, with the notice, consent, grievance and children’s-data obligations expected to become fully operative around May 2027.


9. EU AI Act transparency

9.1. Some Free Tools are AI systems that interact with you and/or generate synthetic text. Where and to the extent the EU Artificial Intelligence Act (Regulation (EU) 2024/1689) applies, SemlyPro will meet the applicable Article 50 transparency obligations — including informing you where you are interacting with an AI system, and marking AI-generated outputs as artificially generated in a machine-readable form and disclosing their AI-generated nature where required. The Article 50 transparency obligations apply from 2 August 2026 (with a transitional period to 2 December 2026 for the machine-readable-marking requirement in respect of generative AI systems already placed on the market). 10. Third-party data sources and uploaded files

10.1. Uploaded files and third-party personal data. Some Free Tools let you paste content or upload a file (for example a CSV or spreadsheet). If a Tool Input contains personal data about other people, you are the controller/Data Fiduciary of that data. You represent and warrant that you have the right and a valid lawful basis to submit it, that you have given any required notices and obtained any required consents, and that you are not submitting special-category or sensitive personal data. You must not upload data you are not lawfully entitled to process.

10.2. Data you connect from other platforms. If a Free Tool lets you connect or import data from a third-party platform (for example analytics or search data), you represent that you are authorised to connect that account and to permit us to process the data solely to run the tool, and your use remains subject to that platform’s own terms. Where any Google-originated data is involved, use is limited by, and you must comply with, the applicable Google API Services User Data Policy (including its Limited Use requirements) and the relevant Google API terms; SemlyPro’s own Google Limited Use commitments are described in our Privacy Policy and Google API Services / Limited Use Compliance Statement.

10.3. Links to third parties. The Free Tools and their outputs may reference or link to third-party websites and resources we do not control and for which we are not responsible.


11. Availability, changes and withdrawal of tools

11.1. The Free Tools are provided on an “as available” basis. We may add, change, limit, suspend, discontinue or withdraw any Free Tool (or all of them), in whole or in part, at any time and without notice or liability to you, including for maintenance, cost, security, legal-compliance or product reasons. We do not warrant that any Free Tool will remain available, and we are not obliged to retain or return your Tool Inputs or Tool Outputs after your session ends.

11.2. There is no service-level agreement, uptime commitment, or support obligation for the Free Tools. Support, where offered, is best-effort only. Support for the paid Service is governed by the ToS or your Subscription Plan.


12. Warranties and disclaimers

12.1. “As is”. To the maximum extent permitted by applicable law, the Free Tools and all Tool Outputs are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, or that the Free Tools will be uninterrupted, secure, error-free, or produce any particular result.

12.2. Consumer rights preserved. Nothing in this clause 12 excludes or limits any warranty, guarantee or right that cannot be excluded or limited under mandatory consumer-protection law in your country of habitual residence — including, for consumers, non-excludable rights under Dutch law (Burgerlijk Wetboek), the UK Consumer Rights Act 2015, and the India Consumer Protection Act 2019. Because the Free Tools are provided free of charge, some paid-service statutory rights (for example price-related remedies) may not be engaged; but where you provide personal data to use a tool, applicable consumer-information and fairness rules (including under Directive 2011/83/EU as amended by Directive (EU) 2019/2161 and the UK Consumer Protection from Unfair Trading Regulations 2008) still apply, and we do not seek to disapply them.


13. Limitation of liability (consumer vs business)

13.1. Non-excludable liability. Nothing in these Free Tools Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and — under Dutch law — for intent or conscious recklessness (opzet of bewuste roekeloosheid), or any liability under mandatory consumer-protection or data-protection law.

13.2. Consumers. If you are a Consumer, we are liable for foreseeable loss and damage caused by our breach of these Free Tools Terms or our failure to use reasonable care and skill, but — given that the Free Tools are supplied free of charge — we are not liable for loss or damage that was not foreseeable, that arises from your use of a Tool Output (including any decision to publish it, any loss of rankings, traffic or revenue, or any third-party claim), or that arises from business use of a free tool intended for evaluation. Your mandatory statutory rights are unaffected (see clause 12.2).

13.3. Business users. If you use the Free Tools in the course of a trade, business, craft or profession, then to the maximum extent permitted by law, and subject to clause 13.1:

  • we exclude all implied terms, and all liability for indirect, incidental, special, consequential or punitive damages, and for loss of profits, revenue, business, goodwill, data, anticipated savings, or search-engine rankings/traffic, however arising; and
  • our total aggregate liability to you arising out of or relating to the Free Tools and these Free Tools Terms is limited to one hundred euros (EUR 100). This reflects that the Free Tools are provided at no charge.

For business users established in the United Kingdom, these exclusions and this cap apply only to the extent they satisfy the reasonableness requirements of the Unfair Contract Terms Act 1977 (and, where relevant, the Consumer Rights Act 2015).

13.4. Caps bind the eenmanszaak and carry over. The limitations in this clause 13 are drafted to bind SemlyPro as the current sole proprietorship (eenmanszaak) and to carry over to Semly Pro B.V. on incorporation, and are made for the benefit of, and may be invoked by, SemlyPro, its owner (Surya Pillai), its co-founder Anil Varma, its personnel, contractors and agents, and — upon incorporation — Semly Pro B.V. and its officers, directors, employees and affiliates (together, the “SemlyPro Indemnified Parties”).


14. Indemnity (business users)

14.1. If you use the Free Tools in the course of a trade, business, craft or profession, you will defend, indemnify and hold harmless the SemlyPro Indemnified Parties (as defined in clause 13.4) from and against any third-party claim, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or relating to (a) your use of the Free Tools; (b) any Tool Output you publish, distribute or rely on; © any personal data or third-party material in your Tool Inputs; or (d) your breach of these Free Tools Terms, the AUP, or any law or third-party right. This clause does not apply to Consumers.


15. Governing law, forum and mandatory consumer rights

15.1. Governing law and forum. These Free Tools Terms are governed by the laws of the Netherlands, and the courts of Amsterdam have jurisdiction, save that: (a) nothing in these Free Tools Terms deprives you, as a Consumer, of the protection of the mandatory consumer-protection provisions or the protective forum available to you under the law of your country of habitual residence (including in the European Union, the United Kingdom or India); and (b) enforceability against users established in the UK or India is subject to those mandatory rules.

15.2. India. For India-facing use, nothing in these Free Tools Terms excludes or limits an India Consumer’s non-excludable rights under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 (including country-of-origin disclosure and grievance redressal), and the Dutch-law/Amsterdam clause in 15.1 is subject to those mandatory rights. A Grievance Officer contact is published in clause 17 and in our India Privacy & Grievance Addendum, as required by the DPDP Rules 2025 (and, where applicable, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021 and the Consumer Protection (E-Commerce) Rules 2020).

15.3. Online Safety Act 2023 (UK). The Free Tools deliver Tool Outputs to the individual user who requested them; they are not a public “user-to-user” content-sharing feature. If we later add any public community, forum or shared-output feature to the Free Tools, we will assess and, where applicable, meet the illegal-content risk-assessment and safety duties of the UK Online Safety Act 2023.


16. Changes to these Terms

16.1. We may update these Free Tools Terms from time to time — for example to reflect changes to the Free Tools, our providers, or the law. The current version is published at the Free Tools’ terms link, and the “Last updated” date will be revised. Your continued use of the Free Tools after an update takes effect constitutes acceptance of the updated Free Tools Terms; if you do not agree, stop using the Free Tools.
